SGV USA LLC is the U.S. HoldCo and structuring vehicle for OrganicRange Ventures. Our intention is to file a Reg D Rule 506(c) offering for ORV. It has not been filed yet. If an offering is pursued, it will be made only through definitive documents and in compliance with applicable law.

SGV USA LLC serves as the U.S. holding company and structuring vehicle for OrganicRange Ventures. We intend to pursue a Reg D Rule 506(c) offering for ORV, which has not yet been filed. How the Structure Works
  • SGV USA LLC aggregates GP and LP interests at the sponsor level, streamlining investor relations.
  • It holds ownership interests in the Arizona land and operating structure through T-Squared Ranch LLC.
  • T-Squared Ranch LLC acts as the Arizona LandCo and operating holdco for land, leases, and assets integral to the ORV vertical.
Current Status
Documentation for the proposed structure and offering is currently being prepared. No offering has been filed or commenced at this time.

What is an Incorporated Cell Company (ICC)?
An Incorporated Cell Company (ICC) is an advanced corporate structure designed to operate multiple distinct “cells” under a single legal umbrella. Each Incorporated Cell (IC) within the ICC framework is legally ring-fenced, meaning its assets and liabilities are segregated from other cells.
This ring-fencing allows for activities and investments to be separated by design, subject to legal and governing document provisions. The ICC structure facilitates shared governance and administration across all cells, while strictly maintaining the financial and operational independence of each individual cell.
How we intend to use ADGM structures
  • We are evaluating ADGM as a future platform jurisdiction for multi-project planning.
